1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PROP, LLC, operating as AltPROP ("AltPROP," "we," "us," or "our"), governing your access to and use of our website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be notified by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Platform Nature and Disclaimers

IMPORTANT: AltPROP is a marketplace platform, NOT a real estate brokerage. We do not:

• Act as a real estate broker or agent
• Represent buyers or sellers in transactions
• Charge commissions or percentage-based transaction fees
• Guarantee the completion of any transaction
• Verify the accuracy of property listings or user-provided information
• Endorse or recommend specific properties, agents, or service providers

AltPROP facilitates connections between users and provides tools and services to assist with real estate transactions. All transactions are between users. AltPROP is not a party to any transaction.

3. Eligibility and Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Complete KYC/AML verification if required

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Post false, misleading, or fraudulent information
• Engage in money laundering, fraud, or other illegal activities
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users
• Collect or harvest information about other users
• Use automated systems to access the Service without authorization
• Circumvent security measures or payment systems

5. Fees and Payment Terms

AltPROP charges service-based fees, not percentage-based transaction fees:

• Listing Packages: Monthly subscription fees for property listings
• Service Fees: Flat fees for premium services (transaction coordination, floorplan generation, etc.)
• Payment Processing Fees: Tiered fees for crypto payment processing:
  • Services under $5,000: 1% + blockchain gas
  • Property $5,000 - $50,000: 0.5% + blockchain gas
  • Property over $50,000: Flat $99 + blockchain gas
• Third-Party Processing: Payment processors (Stripe, Coinbase) may charge additional fees

All fees are non-refundable unless required by law or explicitly stated in our refund policy. Subscription fees are billed monthly and will auto-renew unless cancelled.

You are responsible for all taxes applicable to your use of the Service. We may collect sales tax where required by law.

Marketplace Payouts (Stripe Connect):Professionals and service providers who receive payments through AltPROP are onboarded as connected accounts via Stripe Connect. AltPROP collects a platform fee on applicable transactions before remitting the remainder to the connected account. Connected accounts are subject to Stripe's Connected Account Agreement and must complete Stripe's KYC/AML verification before receiving payouts. AltPROP is not responsible for delays or holds imposed by Stripe on connected account funds.

Cryptocurrency and NFT Payments:All crypto and NFT-related transactions are processed exclusively through Coinbase Commerce. AltPROP does not custody, hold, or transmit cryptocurrency on behalf of users. All on-chain transactions are governed by Coinbase Commerce's terms and the applicable blockchain network rules.

6. Blockchain and Cryptocurrency Transactions

Our Service includes blockchain-based features. By using these features, you acknowledge:

• Blockchain transactions are irreversible and permanent
• You are solely responsible for securing your wallet and private keys
• We are not responsible for losses due to lost keys, compromised wallets, or user error
• Cryptocurrency values are volatile and may fluctuate
• We do not provide investment, legal, or tax advice
• You must comply with all applicable cryptocurrency regulations
• We may require KYC/AML verification for cryptocurrency transactions

DISCLAIMER: AltPROP is not responsible for any losses, damages, or liabilities arising from blockchain transactions, cryptocurrency volatility, smart contract bugs, or network failures.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by PROP, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you post on the Service. By posting content, you grant AltPROP a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of operating and promoting the Service.

You may not use our trademarks, logos, or brand names without our prior written consent.

8. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AltPROP does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Property listings are accurate or complete
• Transactions will be completed successfully
• Service providers meet your expectations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTROP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless PROP, LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Content you post or transmit through the Service
• Transactions you enter into with other users

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• All outstanding fees remain due and payable
• We may delete your account and data (subject to legal retention requirements)
• Provisions that by their nature should survive termination will survive

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules for disputes involving individual consumers, and under its Commercial Arbitration Rules for disputes involving business users — except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. AAA Consumer Arbitration Rules limit filing fees and provide consumer-friendly procedures. The AAA Consumer Arbitration Rules are available at adr.org.

You waive any right to participate in a class-action lawsuit or class-wide arbitration, except that California residents retain the right to seek public injunctive relief in court regardless of any arbitration clause.

12. Miscellaneous

Entire Agreement: These Terms, together with the Platform Disclosures & Limitations of Liability and the Privacy Policy, constitute the entire agreement between you and AltPROP regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure to perform due to unforeseen circumstances or causes beyond our reasonable control.
