These disclosures are incorporated by reference into the AltPROP Terms of Service and together constitute the complete agreement governing your use of the platform.
AltPROP (operated by PROP, LLC) is a technology platform that connects buyers, sellers, renters, landlords, investors, real estate agents, and service professionals. We are not a real estate brokerage, lender, escrow provider, or party to any transaction. This page explains the scope of our role and the limitations of our liability.
AltPROP is committed to Equal Housing Opportunity. AltPROP is a technology platform, not a licensed real estate brokerage. We do not provide real estate brokerage services, represent buyers or sellers in transactions, or act as a dual agent in any capacity. AltPROP does not hold a real estate broker license in any state.
Real estate agents and brokers who use our platform operate under their own independent licenses and are solely responsible for all professional services they provide to their clients. AltPROP does not supervise, direct, or control the professional activities of licensed agents or brokers.
Transaction coordination tools and AI-powered features on AltPROP operate as platform-level virtual assistant tools only. They help users organize, track, and navigate the platform's features — they do not perform any act that requires a real estate license, legal license, or other professional credential. Drafting contracts, representing parties, providing legal or financial advice, conducting appraisals, or any other licensed act must be performed by the appropriate licensed professional. Where the platform connects you with a licensed transaction coordinator, agent, or attorney, that professional operates independently and is solely responsible for their licensed activities.
If you require licensed real estate representation, engage a licensed real estate professional directly. State licensing laws and disclosure requirements govern those relationships independently of AltPROP.
AltPROP facilitates connections between users but does not process, execute, or hold funds for real estate transactions. We are not a party to any purchase agreement, lease, service contract, or other agreement formed between users on the platform, except where AltPROP is explicitly named as a party in a signed written agreement with PROP, LLC.
Where blockchain-based or smart contract escrow functionality is made available, such functionality is provided as a technology tool only. AltPROP does not act as an escrow agent, hold funds in trust, or assume any fiduciary obligation in connection with any transaction. Users are responsible for understanding the legal requirements of escrow in their jurisdiction before using these features.
All transactions are made directly between the parties involved. Users are solely responsible for conducting appropriate due diligence, negotiating terms, and completing transactions in compliance with applicable law.
AltPROP is not responsible for the failure of any transaction to close, any breach of contract between parties, or any losses arising from transactions conducted through the platform.
Real estate investment involves significant risk, including the possible loss of principal. Past performance of any property, market, or investment strategy does not guarantee future results.
Any market data, property valuations, investment analyses, financial projections, or AI-generated insights provided through the platform are for informational purposes only. They do not constitute investment advice, financial advice, or a recommendation to buy, sell, or hold any asset. PROP, LLC is not registered as an investment adviser with the SEC or any state securities regulator.
AltPROP does not guarantee any investment returns, rental income, appreciation, or financial outcome. Users should consult a licensed financial adviser, CPA, or investment professional before making investment decisions.
Features that reference portfolio performance, cap rates, ROI, or similar financial metrics are analytical tools only and do not represent offers of any investment product or security.
Blockchain transactions are irreversible. Once confirmed on-chain, a transaction cannot be reversed, cancelled, or recovered by AltPROP or any third party. AltPROP is not responsible for funds sent to incorrect wallet addresses, lost private keys, gas fees, network failures, or any losses resulting from blockchain transactions.
Cryptocurrency payment processing is facilitated by Coinbase Commerce, an independent third-party money services provider regulated under applicable federal and state law. AltPROP does not custody, hold, or transmit cryptocurrency on behalf of users. Users are subject to Coinbase Commerce's terms of service and applicable regulations.
Smart contracts deployed in connection with platform features may contain bugs, vulnerabilities, or behave in unexpected ways. AltPROP makes no warranty as to the correctness or security of any smart contract code. Users assume all risk associated with smart contract interactions.
Property NFTs (utility tokens): Property NFTs available on this platform are utility tokens that represent a platform-level digital record associated with a property. They do not confer fractional ownership interest, dividend rights, profit-sharing, or any economic interest in any underlying real property or entity. They are not securities. AltPROP does not offer, sell, or broker any security.
Fractional tokenization (regulated securities layer): Where AltPROP facilitates access to fractional property tokens that may represent an investment interest in real property, this functionality is provided exclusively through Securitize — an SEC-registered transfer agent and broker-dealer (CRD #297201). AltPROP acts as a technology referral platform only. The issuance, transfer, and compliance for any security token are governed by Securitize and applicable federal and state securities laws. Access to fractional tokenization features requires completed investor identity verification, AML screening, OFAC/sanctions screening, and accredited investor qualification — all performed by Securitize under Regulation D, Rule 506(c). AltPROP does not perform these checks directly.
Investor screening: All investors seeking access to fractional property tokens are screened by Securitize for:
Platform-level OFAC screening:At account creation and during high-value transactions, AltPROP screens user-provided identity information against OFAC's SDN list and other applicable sanctions lists. AltPROP reserves the right to suspend or terminate accounts that trigger a sanctions match. AltPROP is not a financial institution and its sanctions screening does not substitute for screening required of licensed financial institutions under the Bank Secrecy Act.
The use of regulated blockchain infrastructure (Polygon, Coinbase Commerce, MetaMask) does not itself determine the regulatory classification of any digital asset. Whether any digital asset constitutes a security depends on the nature of the rights it confers. Users should consult independent legal counsel regarding the regulatory treatment of any digital asset in their jurisdiction before transacting.
Service professionals listed on AltPROP — including but not limited to photographers, inspectors, contractors, attorneys, title agents, mortgage brokers, and property managers — are independent third parties. They are not employees, agents, or representatives of AltPROP or PROP, LLC.
AltPROP does not verify, certify, endorse, or warrant the qualifications, licensing, insurance, quality of work, or conduct of any service provider. Inclusion on the platform does not constitute a recommendation or guarantee of service quality.
AltPROP does not charge or receive referral fees for connecting users with settlement service providers. All platform fees — whether paid to AltPROP or directly to a professional through the platform — are fees for genuine technology services or directly for professional services rendered, not compensation for referrals. AltPROP does not participate in any fee-splitting, kickback, or referral arrangement prohibited by RESPA Section 8 (12 U.S.C. §2607).
Users engage service providers at their own discretion and risk. Any disputes regarding services rendered are between the user and the provider. AltPROP is not responsible for service outcomes, provider conduct, or any damages arising from a service engagement.
Property listings, descriptions, photographs, square footage, pricing, and other listing content are provided by sellers, landlords, agents, or third-party data sources including MLS feeds, public records, and licensed data providers. AltPROP does not independently verify the accuracy, completeness, or currency of any listing content.
AI-generated property valuations and estimates are not real estate appraisals. They are not prepared by a licensed appraiser and do not comply with USPAP (Uniform Standards of Professional Appraisal Practice) or FIRREA requirements. They should not be used as the basis for any lending, financing, purchase, or investment decision.
Users should independently verify all material property information through appropriate inspections, disclosures, title searches, and professional reviews before entering into any transaction. AltPROP is not liable for any inaccuracies, omissions, or misrepresentations in listing content.
AltPROP uses artificial intelligence to provide property recommendations, market insights, workflow guidance, valuation estimates, and other informational outputs. These features are intended to assist users in their research and decision-making process only.
AI-generated content does not constitute legal advice, real estate advice, financial advice, or professional advice of any kind. AI outputs may be incomplete, outdated, incorrect, or contradictory. AI systems may produce confident-sounding but factually inaccurate statements ("hallucinations"). AltPROP does not warrant the accuracy of any AI-generated output.
AltPROP does not practice law or real estate. Workflow guidance referencing state laws, regulations, contract deadlines, or legal requirements is for general informational purposes only and does not constitute legal advice or establish an attorney-client relationship. Laws vary by state and change frequently. Consult a licensed attorney in your jurisdiction for legal guidance.
AI model outputs have knowledge cutoff dates and may not reflect current market conditions, recent legal changes, or current property statuses. Users should independently verify time-sensitive information before acting on it.
To the fullest extent permitted by applicable law, AltPROP and PROP, LLC, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of revenue, or loss of goodwill, arising out of or in connection with your use of the platform.
In no event shall AltPROP's aggregate liability to any user exceed the greater of (a) the total fees paid by that user to AltPROP in the twelve months preceding the claim, or (b) one hundred dollars ($100.00).
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if AltPROP has been advised of the possibility of such damages.
Some jurisdictions — including California, New York, New Jersey, Massachusetts, and Washington — do not allow certain liability exclusions or caps in consumer transactions. In those jurisdictions, liability is limited to the fullest extent permitted by applicable law, and certain statutory consumer protection remedies may remain available to you regardless of this agreement.
These disclosures and your use of the AltPROP platform are governed by the laws of the State of Texas, without regard to conflict of law principles, subject to mandatory consumer protection laws applicable in your state of residence that cannot be waived by contract.
Dispute resolution procedures, arbitration requirements, and class action waiver terms are set forth in the AltPROP Terms of Service. California residents retain the right to seek public injunctive relief in court regardless of any arbitration clause, consistent with McGill v. Citibank, N.A., 2 Cal.5th 945 (2017).
